- IN NO EVENT SHALL IPC TECHNOLOGY SOLUTIONS’ AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS & CONDITIONS OR THE SERVICES EXCEED THE AMOUNT YOU PAID TO IPC TECHNOLOGY SOLUTIONS, IF ANY, FOR ACCESS TO OR USE OF THE SERVICES.
Indemnification
You agree to indemnify, defend, and hold harmless IPC Technology Solutions and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your use of the Services, your violation of these Terms & Conditions, or your violation of any rights of another.
Termination
- Termination by User: You may terminate your use of the Services at any time by ceasing to access and use the website and any associated services.
- Termination by IPC: IPC Technology Solutions may terminate your access to the Services at any time, with or without cause, and with or without notice, including but not limited to if we believe that you have violated these Terms & Conditions.
- Effects of Termination: Upon termination, your right to use the Services will immediately cease. IPC Technology Solutions may delete any data associated with your account.
Governing Law and Dispute Resolution
- Governing Law: These Terms & Conditions shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia, without regard to its conflict of law principles.
- Dispute Resolution: Any dispute arising out of or relating to these Terms & Conditions shall be resolved through amicable negotiations. If the parties are unable to resolve the dispute through negotiation, the dispute shall be submitted to binding arbitration in accordance with the rules of the Saudi Center for Commercial Arbitration (“SCCA”). The arbitration shall be conducted in Riyadh, Saudi Arabia. The language of the arbitration shall be Arabic. The decision of the arbitrator shall be final and binding on the parties.
Severability
If any provision of these Terms & Conditions is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
Force Majeure
IPC Technology Solutions shall not be liable for any failure to perform its obligations under these Terms & Conditions due to any cause beyond its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
